1% Transfer Match Terms and Conditions
Offer Term: November 2, 2026 – December 31, 2026
This offer (the “Offer”) is solely through One Growth Securities LLC ("One Growth" or "OnePay"; references to “OnePay,” “we,” “our,” and “us” in these terms mean One Growth), and not by any of One Growth's affiliates or any other third-party. To participate in this Offer, a customer must open or have a OnePay Invest Account or OnePay IRA Account (each as defined in your applicable OnePay customer agreement) in good standing and directly receive from OnePay an email, push notification, or in-app message promoting the Offer (each, an "Eligible Customer"). Eligibility and the Offer are non-transferable. Each Eligible Customer may participate in the Offer once, but may earn a Match on each Qualifying Deposit as described below.
Important: Each Qualifying Deposit is subject to a three (3) year Holding Period (as defined below). If, during the Holding Period, you sell securities in your OnePay Invest Account, or withdraw, distribute, or transfer assets out of your OnePay Invest Account or OnePay IRA Account, you may be required to return some or all of the Match attributable to that Qualifying Deposit through a Match Reversal (as defined below). A transfer of your account out of OnePay by ACATS during the Holding Period may result in a Match Reversal of the full Match associated with each Qualifying Deposit that has not completed its Holding Period.
An Eligible Customer can earn a match (the “Match”) equal to 1% of the value of each transfer of securities from an account in their name at another brokerage firm into an existing or newly opened OnePay Invest Account or OnePay IRA Account through the Automated Customer Account Transfer Service (“ACATS”), that is initiated during the Offer Term and settles no later than 11:59 p.m. ET on its last day (a “Qualifying Deposit”). A transfer is initiated when you submit the transfer request to OnePay in the OnePay App, and settles when the transferred securities are received by and credited to the receiving account. For an Invest Account, a transfer is a Qualifying Deposit only if, when you submit the request, you also select the security you want to receive as your Match, as described below. There is no maximum Match amount during the Offer Term. The value of a Qualifying Deposit is the market value of the eligible securities credited to the receiving account, determined once the securities settle, using the last reported price on the most recent trading day that has closed. A security is eligible only if it has an available market price, meaning it has a trading symbol and OnePay’s pricing source has a last reported price for that symbol. Securities without an available market price, such as many mutual funds and bonds, are not eligible and do not earn a Match, and OnePay does not substitute cost basis or any other value. Cash (including any cash balance in the transferring account) and other non-securities assets are not part of a Qualifying Deposit and do not earn a Match. Transfers made by any other means, including wire, ACH, check, direct rollover, in-kind transfers made manually outside ACATS, or transfers between accounts held at OnePay, are not Qualifying Deposits.
For IRA accounts: The Match will be paid into the cash balance of the OnePay IRA Account that received the Qualifying Deposit within thirty (30) business days after the Qualifying Deposit settles.
For Invest accounts: For Invest accounts: When you submit an ACATS transfer request for your OnePay Invest Account, you must select the security you want to receive as your Match from the securities OnePay designates for this purpose and makes available in the OnePay App. After the Qualifying Deposit settles, OnePay will fund a purchase of your selected security in an amount equal to the Match, and the shares purchased will be credited to your OnePay Invest Account at the market price when the purchase is executed, within thirty (30) business days after settlement. Your selection is not a guarantee that you will receive that security. If your selected security is unavailable for purchase (for example, because it is delisted or trading is halted), or the purchase cannot be completed within that period for operational or regulatory reasons, OnePay may, in its discretion, delay the purchase, prompt you to choose another security, or pay the Match in cash. A Match paid in cash will be credited to your OnePay deposit account (your “Funding Account”), not your Invest Account. The value of those shares will rise and fall with the market, but a Match Reversal is calculated using the dollar amount of your Match, not the value of the shares.
Each Qualifying Deposit has its own three (3) year holding period, beginning on the date it settles, even if the Match is paid later (the “Holding Period”). You are not required to keep the specific securities you transferred. Instead, whether a Match Reversal applies is based on your account value (the market value of all securities and any cash in the account), as described below. Your account value does not include your Funding Account. A “Match Reversal” is the part of the Match for a Qualifying Deposit, up to all of it, that OnePay takes back under these terms, calculated as described below, and applied as a clawback fee.
A Match Reversal may result from the events listed below during the Holding Period. A Match Reversal applies only if your account value, after the event, is below your Protected Value, as described below.
Invest Account. A sale of securities; a withdrawal or transfer of securities out of the account, including a transfer to another OnePay account or to an account outside of OnePay, (including by ACATS); and the closing of the account. Your Invest Account does not hold cash. When you sell securities, the proceeds are credited to your Funding Account, so a sale reduces your account value in the same way a withdrawal does, even if you plan to use the proceeds to buy other securities.
IRA. A withdrawal, distribution, or transfer of cash or securities out of the IRA, including a required minimum distribution or any other distribution required by law, and a transfer to another OnePay account or to an account outside of OnePay, (including by ACATS); and the closing of the IRA. A sale of securities within your IRA does not by itself result in a Match Reversal, because the proceeds stay in the cash balance of your IRA and its account value does not change.
The “Protected Value” of your account (the Invest Account or IRA Account that received your Qualifying Deposits) is initially the combined value of your Qualifying Deposits that are within their Holding Periods, plus their Matches credited to the account. Each time one of the events listed above occurs during the Holding Period, OnePay checks your account value right after the event. If it is below your Protected Value, a Match Reversal applies. This includes value lost to market declines before the event. The Match Reversal equals 1% of the amount below your Protected Value. In other words, each $100 below your Protected Value results in a $1 Match Reversal. After a Match Reversal, your Protected Value is lowered so you are not charged twice for the same amount. A change in market value alone, without one of these events, never triggers a Match Reversal. The total of all Match Reversals for a Qualifying Deposit will never exceed the Match.
Example. You transfer $1,000 by Qualifying Deposit and receive a $10.00 Match, so your Protected Value is $1,010. You sell $800 of securities in your Invest Account (the proceeds are credited to your Funding Account) or withdraw $800 from your IRA less than 3 years after the Qualifying Deposit settles, and the remaining account value is $210. You may be charged a Match Reversal of $8. This is 1% of the $800 by which your remaining account value is below your Protected Value of $1,010. The following show some examples of the Match Reversal and each row is a separate example:
Qualifying Deposit | Match | Sale or withdrawal timing | Account value | Sale or withdrawal amount | Remaining account value | Match Reversal |
$1,000 | $10 | 3 or more years | $1,010 | -$800 | $210 | $0 |
$1,000 | $10 | Less than 3 years | $1,010 | -$800 | $210 | $8 |
$1,000 | $10 | Less than 3 years | $2,010 | -$800 | $1,210 | $0 |
$1,000 | $10 | Less than 3 years | $860 | -$800 | $60 | $9.50 |
In the last row, your account value declined from market losses before the sale or withdrawal. The decline did not by itself result in a Match Reversal.
If you have more than one Qualifying Deposit, a Match Reversal is applied to the Match of the oldest Qualifying Deposit first, then to the next oldest, up to the remaining Match of each. A Qualifying Deposit and its Match stop counting toward your Protected Value when its Holding Period ends.
Collection. The Match Reversal will be deducted from the proceeds of the sale or withdrawal that triggers it. For an Invest Account, which does not hold cash, the sale proceeds are credited to your Funding Account, so the Match Reversal will be deducted from the amount that would otherwise be credited to your Funding Account (including any advance of sale proceeds). In addition, OnePay reserves the right, at any time and in any order or combination, to collect a Match Reversal (or any unpaid portion of it) directly from your Funding Account and to sell securities in your Invest Account or IRA Account to cover the Match Reversal, whether or not the proceeds of the sale or withdrawal that triggered it are sufficient. OnePay is not responsible for market losses or tax consequences resulting from a sale to collect a Match Reversal. You authorize OnePay, including by instructing One Finance, Inc., its sponsor bank, the Carrying Broker (as defined in your OnePay Invest Customer Account Agreement), and your IRA custodian, as applicable, to take any of the foregoing actions to collect a Match Reversal that becomes due under these terms.
Match Reversal in an IRA. For your OnePay IRA Account, a Match Reversal is a Fee (as defined in your OnePay IRA Customer Account Agreement) charged by One Growth for the brokerage, custody, and related OnePay Services provided to your IRA. By participating in the Offer, you, as the owner of your IRA, agree that the Match Reversal is a reasonable fee for those services and direct OnePay and the custodian of your IRA to apply it as described in these terms.
OnePay may collect a Match Reversal from any one or more of the following, in any order or combination: (a) available cash in your IRA; (b) the proceeds of a sale of securities in your IRA, including a sale OnePay makes to pay the Match Reversal, which you direct OnePay to make; and (c) your Funding Account. A payment from your Funding Account is payment of a Fee on behalf of your IRA. It is paid directly to One Growth, is not deposited into your IRA, and is not a contribution to your IRA. If a debit to your Funding Account fails or is returned, OnePay may collect the amount from your IRA as described above.
OnePay reserves the right to decline, rescind, or delay the Match if it determines, in its sole discretion, that a customer has engaged in fraudulent activity or violated these terms or your applicable customer agreement. If OnePay rescinds a Match already paid, OnePay may recover the Match amount by any of the means described above, including liquidation of securities in your account. This Match may not be combined with any other OnePay promotional offer. OnePay reserves the right to modify or terminate this Offer at any time, without notice. A modification or termination will not affect a Match that has already been paid, which remains subject to the Holding Period and Match Reversal provisions of these terms.
Not a Recommendation. The Match is not a recommendation to buy, sell, or hold any security, to follow any investment strategy, to transfer or roll over assets to OnePay, or to choose a particular type of account (taxable or IRA). There are a number of factors you should consider before transferring an account or initiating a rollover, including fees and expenses at your current firm, differences in services and features, tax consequences, and the Holding Period and Match Reversal described above, and you should consult a qualified advisor before doing so. By participating in this Match, you acknowledge that neither OnePay nor any of its affiliates has made a recommendation that you transfer assets to OnePay, and that you are participating voluntarily. The securities available for selection to receive a Match are not recommended by OnePay and are not selected based on their suitability for you.
Taxes. IRAs. OnePay treats the Match as interest earned by your IRA for tax reporting purposes. The Match is not a contribution to your IRA. It does not count toward, and does not affect, your annual IRA contribution limit or the amount you may deduct for IRA contributions. OnePay will report the Match as required by applicable law. The Match may have tax consequences if you later convert, withdraw, or distribute assets from your IRA, including a Roth conversion of non-deductible contributions. OnePay treats a Match Reversal as a Fee for services as described under “Match Reversal in an IRA” and will not report it as a distribution from, or a contribution to, your IRA.
Invest Accounts. The value of the Match may be taxable income to you, and OnePay may issue an IRS Form 1099-MISC, or other appropriate form, relating to the Match. A Match Reversal may affect the amounts reported to you or the IRS, and a sale of securities in your Invest Account to collect a Match Reversal may be a taxable event.
All accounts. You are responsible for any federal, state, or local taxes resulting from the Match or a Match Reversal and should consult your own tax advisor, as each customer's tax situation is different and OnePay does not provide tax advice.
Other Information. Your OnePay Invest Account or OnePay IRA Account must be open and in good standing at the time the Match is paid. If your account is closed or not in good standing at that time, the Match will be forfeited. Investment products are not FDIC insured, not bank guaranteed, and may lose value.
